Terms and Conditions

  1. Kuin Van Overbeek notariaat B.V., is a private company with limited liability under Dutch law, for the practice of notarial practice.
  2. These general terms and conditions apply to all assignments, additional assignments and/or follow-up assignments that the clients of Kuin Van Overbeek notariaat B.V. to Kuin Van Overbeek notary office B.V. or to the employees of Kuin Van Overbeek notariaat B.V. provide. Kuin Van Overbeek notariaat B.V., the employees of Kuin Van Overbeek notariaat B.V., and former employees of Kuin Van Overbeek notariaat B.V. – and insofar as applicable – including any heirs of the persons referred to above, can invoke these general terms and conditions.
  3. All assignments, additional assignments and/or follow-up assignments are deemed to have been exclusively issued to and accepted by Kuin Van Overbeek notariaat B.V.. Contrary to articles 7:404, 7:407 paragraph 2 and 7:409 of the Dutch Civil Code, Kuin Van Overbeek notariaat B.V., as well as the employees of Kuin Van Overbeek notariaat B.V. not personally bound or liable and the assignment does not end by their death, whether or not the assignment was given with a view to a particular person.
  4. Kuin Van Overbeek notary office B.V. will exercise due care when engaging third parties that do not belong to its organization to perform work in the context of the assignment and will consult with the client as much as is reasonably possible when selecting these third parties. Any liability for shortcomings, errors and the consequences of these shortcomings and errors of these third parties is excluded.
  5. Any liability of Kuin Van Overbeek notariaat B.V. in the performance of an assignment from a client is limited to the amount that is paid out in the relevant case under the professional liability insurance it has taken out, plus the amount of the deductible applicable under the insurance. Information on professional liability insurance will be provided on request. Kuin Van Overbeek notary office B.V. expressly does not provide tax advice with regard to the assignments to be performed by it, except insofar as expressly agreed otherwise or the nature of the service provides otherwise. Therefore Kuin Van Overbeek accepts notariaat B.V. is not liable for any damage resulting from tax aspects of assignments it carries out.
  6. The execution of orders given is exclusively for the benefit of the client. Third parties cannot derive any rights from the performance of the work performed for the client.
  7. The services provided by Kuin Van Overbeek Notariaat B.V. usual rates will be charged, unless the client and Kuin Van Overbeek notariaat B.V. have agreed otherwise. otherwise agreed in writing. Work that is carried out without ultimately leading to a notarial deed also falls under the agreement. Kuin Van Overbeek notary office B.V. is authorized to invoice the client with regard to those activities on the basis of the time spent by Kuin Van Overbeek notariaat on the assignment, at the usual hourly rates at the office of Kuin Van Overbeek notariaat, unless the client and Kuin Van Overbeek notariaat B.V. have agreed otherwise. otherwise agreed in writing.
  8. The fee due and any advances due must, unless stated otherwise, be in the possession of Kuin Van Overbeek notariaat B.V. at the latest on the date of execution of the deed, but before the time of execution thereof. Kuin Van Overbeek notariaat B.V. is authorized to make interim invoices, and in any case after the expiry of a period of 6 weeks after the order has been placed and always after a subsequent period of 6 weeks. For invoices from Kuin Van Overbeek notariaat B.V. a payment term of 15 days after the date of the invoice applies. Invoices relating to work under corporate law are increased by an office surcharge of 6% to cover general office costs (such as postage, registration, telephone, fax and photocopying costs, etc.).
  9. The client to whom payment of fees or disbursements has been requested in writing by means of an invoice, invoice or otherwise, and from whom payment has not yet been received within the due period, is liable for the costs incurred by Kuin Van Overbeek notariaat B.V. from the moment of expiry of the due period, both judicially and extrajudicially, to collect his claim, including collection costs, as well as in respect of the Kuin Van Overbeek notariaat B.V. time spent on the basis of the usual hourly rate at the office for the relevant officer. From that moment on, he also owes statutory interest on that claim. The interest is one percent per month, with part of a month counting as a full month.
  10. The legal relationship between the client and Kuin Van Overbeek notariaat B.V. is subject to Dutch law. All disputes arising from that legal relationship will be settled exclusively by the competent court in Amsterdam.
